1. Acceptance of Terms
Welcome to Endel Rituals (the “App”). By accessing or using the App, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”).
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.
These Terms constitute a legally binding agreement between you and Endel Sound GmbH (“Company,” “we,” “us,” or “our”).
1.1 Eligibility
The App is not directed to children under the age of 13, and we do not knowingly allow children under 13 to create an account or provide personal information.
By using the App, you represent and warrant that:
- You are at least 18 years old; or, if you are between 13 and 17, you have permission from a parent or legal guardian to use the App
- You have the legal capacity to enter into these Terms under the laws of your jurisdiction
- Your use of the App complies with all applicable laws and regulations
1.2 Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes:
- We will update the “Last Updated” date
- We may notify you via in-app notification or email
Your continued use of the App after changes become effective constitutes your acceptance of the modified Terms.
2. License Grant
2.1 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the App on a device that you own or control
- Use the App for your personal, non-commercial purposes
2.2 Restrictions
You agree NOT to:
- Copy, modify, or create derivative works of the App or any part of it
- Reverse engineer, decompile, or disassemble the App
- Remove or modify any copyright, trademark, or proprietary notices
- Use the App for any commercial purpose without our prior written consent
- Rent, lease, lend, sell, or sublicense the App
- Use the App in violation of any applicable laws or regulations
- Interfere with or disrupt the App, its servers, or networks
- Attempt to gain unauthorized access to any part of the App
2.3 Apple’s Licensed Application End User License Agreement
This license is also subject to Apple’s Licensed Application End User License Agreement (EULA). You acknowledge and agree that:
- This license is between you and Endel Sound GmbH only, not Apple
- Apple is not responsible for providing maintenance or support services for the App
- Apple is not responsible for addressing any claims relating to the App or your use of the App
- Apple is a third-party beneficiary of this license and may enforce it against you
3. Intellectual Property Rights
3.1 Ownership
The App and all content, features, and functionality (including but not limited to audio patches, sound generation algorithms, text, graphics, logos, user interface design, and software code) are owned by Endel Sound GmbH, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
3.2 Trademarks
“Endel Rituals,” “Endel,” and associated logos are trademarks of Endel Sound GmbH. You may not use these trademarks without our prior written consent.
3.3 Feedback
If you provide us with feedback, suggestions, or ideas about the App (“Feedback”), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and commercialize the Feedback without compensation or attribution to you.
4. User Content and Shared Sessions
4.1 Your Content
You retain ownership of any content you create using the App, including:
- Session notes and reflections
- Personal emotional entries
- Custom session configurations and audio patch selections
4.2 Shared Sessions (Circle Tab)
When you contribute audio patches or other content to shared sessions:
License Grant:
You grant Endel Sound GmbH a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:
- Host and distribute your contributions
- Display your contributions to other users within the App
- Use your contributions to improve and develop the App
- Include anonymized or aggregated forms of your contributions in promotional materials
Your email address may be visible to other participants when you contribute to shared sessions, if you choose to provide it.
Representations:
- You have the right to contribute the content
- Your contributions do not violate any laws or third-party rights
- Your contributions do not contain harmful, offensive, or inappropriate material
No Compensation:
You acknowledge that you will not receive compensation for your contributions
to shared sessions.
Community Guidelines:
You agree NOT to contribute content that:
- Is illegal, harmful, threatening, abusive, harassing, or hateful
- Infringes any intellectual property or proprietary rights
- Contains malware, viruses, or other harmful code
- Is designed to harass, intimidate, or harm other users
- Violates any applicable laws or regulations
4.3 Content Removal
We reserve the right, but are not obligated, to remove any user content that violates these Terms or is otherwise objectionable, without prior notice.
5. Health and Wellness Disclaimer
5.1 Not Medical Advice
Endel Rituals is designed for general wellness and emotional regulation purposes only. The App is not:
- A medical device
- A substitute for professional medical advice, diagnosis, or treatment
- Intended to diagnose, treat, cure, or prevent any disease or condition
- Suitable for treating mental health conditions
You should not rely on the App as a substitute for professional healthcare. Always seek the advice of a physician or other qualified healthcare provider with any questions regarding a medical condition or mental health concern.
5.2 Use at Your Own Risk
Your use of the App is at your sole risk. Results may vary between individuals. We do not guarantee any specific outcomes or improvements in emotional state or wellness.
6. Subscriptions and Payments
If the App offers subscriptions or in-app purchases:
- Fees and pricing are displayed within the App or App Store listing
- Payments are processed through the Apple App Store using your Apple ID account
- Subscriptions may automatically renew unless canceled at least 24 hours before the end of the current period
- Refunds are handled according to Apple’s refund policies; we do not process refunds directly
7. Privacy and Data Protection
Your use of the App is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.
By using the App, you consent to the collection and processing of your information as described in the Privacy Policy.
8. Third-Party Services and Links
8.1 Third-Party Content
The App may include content or integrations provided by third parties, such as open-source libraries, licensed audio assets, or API services. We are not responsible for third-party content or services.
8.2 External Links
The App may contain links to third-party websites or services. We do not endorse and are not responsible for:
- The content on such websites
- The privacy practices of such third parties
- Any products or services they offer
Your use of third-party websites or services is at your own risk and subject to their terms and policies.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS OF CONTENT
WE DO NOT WARRANT THAT:
- The App will meet your requirements
- The App will be uninterrupted, timely, secure, or error-free
- The results obtained from use of the App will be accurate or reliable
- Any defects or errors will be corrected
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENDEL SOUND GMBH SHALL NOT BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US (IF ANY) IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) EUR 100.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Endel Sound GmbH, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use or misuse of the App
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or contributions to shared sessions
12. Termination
12.1 Termination by You
You may terminate your use of the App at any time by deleting the App from your device. If account deletion functionality is available, you may also delete your account from within the App.
12.2 Termination by Us
We may suspend or terminate your access to the App, with or without notice, if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- Your actions harm or threaten to harm other users or our operations
- We decide to discontinue the App
12.3 Effect of Termination
Upon termination:
- Your right to use the App will immediately cease
- You must delete the App from your devices
- We may delete your account and associated data, subject to legal retention obligations
13. Governing Law and Jurisdiction
These Terms and any disputes arising out of or related to them are governed by the laws of Germany, without regard to its conflict of law principles.
You agree to submit to the exclusive jurisdiction of the courts located in Berlin, Germany, to resolve any legal matter arising from these Terms or your use of the App.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices provided within the App, constitute the entire agreement between you and Endel Sound GmbH regarding your use of the App.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at our discretion.
14.5 Force Majeure
We shall not be liable for any failure to perform resulting from any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, labor disputes, internet failures, or governmental actions.

16. Acknowledgment
